About this Event

Dear ISACA Sydney Chapter Members,

We are writing to inform you of proposed updates to the ISACA Sydney Chapter By-laws and to invite your review and support.

Why are we changing the By-laws?

The ISACA Sydney Chapter By-laws have not been formally reviewed since 2018. Since that time:

  • ISACA International governance requirements now expect chapters to review their bylaws on a regular basis (ideally annually).
  • As part of our ongoing commitment to strong governance and transparency, the Chapter has undertaken a comprehensive review to ensure our bylaws and Chapter Operations Manual remain current, fit for purpose, and aligned to evolving governance expectations.
  • This review also reflects changes in local regulatory requirements and our updated operating model as the Chapter continues to grow and mature.

What is changing?

  • The updated bylaws are based on the ISACA International standard bylaws template, adopted to improve consistency across chapters globally.
  • Our primary objective was to align fully with the international template, while retaining provisions required to comply with Australian regulatory requirements.
  • Changes have been kept targeted and minimal, focusing on governance clarity, member engagement, and board effectiveness rather than operational change.

Summary of Key changes

The most significant updates include:

1.Annual General Meeting (AGM timing)

  • The AGM may now be held within five months of the financial year end (previously four months), reflecting recent changes in local regulatory requirements.
  • The quorum to run the meeting is now increased from 10 members to 30 members.

2.Officer terms and performance expectations

  • Chapter Officers will now be elected for one term of two years (previously one‑year terms).
  • This aligns with ISACA International guidance and supports stronger continuity, strategic focus, and effective execution.
  • Clear performance and attendance expectations are reinforced, including the ability to address non‑performance where required.

(a) Chapter Officers are expected to attend at least 75% of Board meetings in any rolling 12‑month period.

(b) Officers may be removed with cause for matters beyond performance where conduct does not meet governance or compliance expectations.

3. Governance and member engagement enhancements.

  • Members will receive 30 days’ notice of the AGM (previously 21 days).

4. Inclusion of a two-third majority vote requirement for amendments to By-laws.

The proposed by-laws have been developed in consultation with ISACA Oceania Regional Ambassador, ISACA International Chapter Support, and ISACA International Parliamentarian.

What do we need from you?

We encourage all members to:

  • Review the proposed by-law updates and change summary.
  • Share any feedback or questions ahead of the AGM through [email protected]
  • Participate in the AGM vote, where members will be asked to approve the updated by-laws in accordance with the required majority.
