TIME: Load in at 9am. No vehicle entry after 9:40am. All vehicles must be off-site by 10am.

VENDOR FEES
Pride Village vendors are not charged a percentage of sales; however, we do charge a participation fee to help offset the cost of tents, tables, permits, etc. Full payment is required to reserve your vending space. Rates are as follows:
Retail Vendor Tent: $500
Selling items at event. Purchase includes a 10' x 10' tent, 1 table and 2 chairs.
Community Tent: $85 - $350
Registration includes 1 table and 2 chairs located under our large Pride Village tents
PRIDE FESTIVAL TERMS AND CONDITIONS
The 2024 Pride Festival (the “Event”) will be held on June 2, 2024 (“Event Date”) at 44 Prime Street, Buffalo, NY 14202, which is commonly known as Canalside Buffalo (“Canalside”). As condition of participation in the Event, all individuals and organizations participating as retail or community vendors, exhibitors, contractors, and sponsors (“VENDORS”) agree to adhere to the EHS, Inc. and affiliates (collectively, the “COORDINATOR”) Terms and Conditions. Failure to adhere to these Terms and Conditions may result in VENDOR’s exclusion from the Event and future events, and possible legal action, if applicable. COORDINATOR’s decisions are final and COORDINATOR maintains the right to refuse entry and deny any application without liability.
REGISTRATION
- VENDOR application fee is due at time of registration.
- Registration is limited and selection of VENDORS as well all assignment of placement within Canalside is in COORDINATOR’s discretion. COORDINATOR does not guarantee that an application will result in selection for participation in the Event and COORDINATOR reserves the right to reassign or cancel placement as necessary at any time. If the VENDOR is not selected to participate, a refund of the application fee will be processed and will be subject to Eventbrite’s return policy.
- VENDOR agrees that its selection to participate and its assigned placement within Canalside may not be traded or re-assigned without the express permission of the COORDINATOR.
- During registration, VENDOR agrees that it will submit a description of all items and handouts being sold and/or distributed at the event for approval by the COORDINATOR. If items are added or changed after registration, VENDOR is required to provide notification by email to [email protected] and receive approval by COORDINATOR.
- Organizations or individuals that arrive on the Event Date without pre-registration will not be permitted to enter or participate.
SET-UP/CLEAN UP ON EVENT DATE
- VENDOR may load in at Canalside at 9:00 a.m. No vehicle entry after 9:40 a.m. All cars must be off-site by 10:00 a.m. Failure to comply with this requirement may result in the exclusion from the Event without refund.
- VENDOR must unload all supplies and remove any vehicles from Canalside quickly.
- VENDOR tents/tables must be completely set up by the start of the Event at 1:00 PM.
- VENDOR must remain set up for the duration of the Event, which ends at 7:00 PM. Canalside roads will not open until walking traffic has cleared after the Event.
- VENDOR is responsible for all clean-up in and around their assigned area at the end of the Event. COORDINATOR reserves the right to charge VENDOR for any costs associated with VENDOR’S failure to clean up its assigned area.
- Tear down and clean-up must be completed by 8:30 PM on the Event Date.
- No electricity will be provided at the VENDOR’s assigned area and the use of generators is prohibited.
SALES AND GIVEAWAYS
- VENDOR agrees that it will only sell items within its designated area that were disclosed on its vendor application and approved by COORDINATOR.
- VENDOR is responsible for collecting and reporting all local, state, and federal taxes in accordance with applicable state and federal law.
- VENDOR acknowledges that the sale or distribution of food, beverage, and/or alcohol or weapons of any kind is strictly prohibited.
- VENDOR shall not contact or solicit Event participants without the express written consent of COORDINATOR.
INDEMNIFICATION
VENDOR agrees to INDEMNIFY and HOLD HARMLESS EHS, Inc. and its affiliates, and their respective directors, officers, agents, employees, and volunteers from and against any and all losses, liability, claims, costs, damages, and expenses (including attorneys’ fees) incurred in connection to VENDOR’S participation in the Event. VENDOR shall notify COORDINATOR promptly after becoming aware of any such claim.
LIMITATION OF LIABILITY
In consideration of the acceptance of this application and permission to participate in the Event, VENDOR agrees to WAIVE, RELEASE, and DISCHARGE EHS, Inc. and its affiliates, and their respective directors, officers, agents, employees, and volunteers from any and all liability, including but not limited to, liability arising from the negligence or fault of the entities or persons released, for any death, disability, personal injury, property damage, property theft, or actions of any kind which may hereafter occur to VENDOR including its traveling to and from this Event.
FORCE MAJEURE
COORDINATOR shall not be liable to the VENDOR for any disruption, delay, cancellation, or rescheduling of the Pride Festival if and to the extent that such failure or delay is caused by or results from causes beyond its control, including, without limitation, any act (including delay, failure to act, or priority) of the other party or any governmental authority, pandemic, epidemic, civil disturbances, fire, acts of God, acts of public enemy, compliance with any regulation, order, or requirement of any governmental body or agency, or inability to obtain transportation or necessary materials in the open market. VENDOR shall hold the COORDINATOR harmless for any losses that could arise because of such event.
RELEASE OF LIKENESS
VENDOR understands and acknowledges that the Event is a public event and all activities associated with the Event may be photographed or recorded. The COORDINATOR or other entities may take and use photographs, film or other images of VENDOR throughout the Event. VENDOR waives any right of privacy, publicity, compensation, copyright, or other rights to any images, videos, or recordings and consents that COORDINATOR may use such images, videos, or recordings for any purpose.
APPLICABLE LAW
VENDOR shall abide by all federal, state, and local laws, rules and regulations, codes, and ordinances. In addition, VENDOR is required to abide by any COORDINATOR and/or Canalside policies and procedures related to the Event.
NON-DISCRIMINATION
VENDORS agree at all times to honor and abide by the following statement of non-discrimination in word and action:
“All persons associated with the Event will provide service to individuals without regard to an individual’s sexual orientation, gender identity or expression, HIV/AIDS status, race, color, national origin, ancestry, creed, religion, sex, gender, physical or mental disability, age, marital status, military status, veteran status, citizenship or any other protected classification in accordance with state, federal, and municipal laws.”
ENFORCEMENT
VENDOR agrees failure to abide by these Terms and Conditions may be grounds for immediate expulsion and exclusion from the Event and any future participation in COORDINATOR’s events. Except as specifically stated herein, all VENDOR fees are non-refundable, and VENDOR will forfeit all entry fees, rental fees, sponsorship fees, and deposits if it is in violation of the Terms and Conditions. In addition, COORDINATOR reserves the right to seek additional legal action against VENDOR as permitted by law. The Terms and Conditions are subject to change at any time.
GOVERNING LAW
VENDOR agrees that these terms and conditions shall be governed by and construed in accordance with the laws of the State of New York. The sole and exclusive venue for any dispute arising out of VENDOR’s participation in the Event shall be a court of competent jurisdiction located in Erie County.
