VENDORS AGREEMENT

Saturday, November 08, 2025 * The Proud Bird Restaurant 11022 Aviation Boulevard, Los Angeles, CA 90045 * Grand Ball Room

“You” the vendor, the undersigned, do hereby submit this vendor agreement and lease for table space rental as indicated below for our use at: When Love Covers “The Gathering" to be held at the Proud Bird in Los Angeles CA, on November 08, 2025. This vendor agreement , with When Love Covers Women Ministry along with full payment of charges constitute a contract for the right to use the space assigned by the When Love Covers Women Ministry.

Full Payment through Eventbrite.com indicates that “You the vendor” have read and agree to comply with the space lease terms within this contract. “You the vendor” understand that Booth space is limited and location will be assigned by When Love Covers Women Ministry Staff.

Table Space Rental Rates for a 6-FOOT Table is $100.00, not including eventbite fees. Only (1) Table per Vendor is allowed. NOTE: No outlet uses are available

Each Table Space Rental includes: (1) 6-foot Table covered with a black table cloth, (1) identification sign displaying company name, and (2) chairs.

Please be advised that Meals are not included in the fee neither access to the main Ballroom. If you desire a meal and access to the ballroom, you must purchase an event ticket.

Note: If you sell clothing and are bringing a hanging rack, the width must not exceed 6 feet. The price of the 6-foot Table Top applies for hanging racks if you utilize hanging racks instead of table tops. Your allowable space is confined to the amount purchased.

VENDORS RULES AND REGULATIONS

DEFAULT OCCUPANCY – Any vendor failing to occupy space contracted for in a timely manner will not receive a refund for the rental space and the When Love Covers Women Ministry has the right to use such space as it sees fit to eliminate blank space, if such booth space is not occupied by the vendor 30min prior to the start of event hours.

NUMBER OF COMPANIES OCCUPYING BOOTH – The When Love Women Ministry prohibits the use of a single booth for the display of multiple companies regardless of company ownership.

RELOCATION OF VENDORS – When Love Covers Women Ministry reserves the right to alter location of vendors, if deemed advisable, in the best interest of The Proud Bird Restaurant.

NOISE B - Public address, sound producing, or amplifying devices which project sound beyond the vendors booth, or excessive operating noise that distract neighboring vendors, are expressly prohibited. When Love Covers Women Ministry reserves the right to restrict vendors which, because of noise or for any other reason, become objectionable or which may detract from the general character of the event.

INSTALLATION AND DISMANTLING – The vendor space will be available for installation by the vendors at a date and time to be made known in advance. It is the duty and responsibility of each vendor to have her exhibit completely installed in her area before the opening of the doors and to dismantle and remove her exhibit after the close of the event by the deadline set by When Love Covers Women Ministry.

RISK OF LOSS – When Love Covers Women Ministry, their subsidiaries, and their respective officers, employees, agents and affiliates, and the Proud Bird, separately or collectively cannot accept responsibility for any damage to or for the loss, stolen or destruction of an exhibit, or for the property of an vendor, her agents, contractors or employees either from fire, theft or accidents or other causes, injuries, to any person resulting from any cause, all claims of any being is expressly waived by the vendor.

LIABILITY AND INSURANCE – Neither When Love Covers Women Ministry, nor any of the officers, employees, agents, contractors and affiliates of such entities nor the owners, management company, employees or representatives of the Proud Bird will be responsible for any flu symptoms such as covid-19, injury, loss or damage that may occur to the vendor or to the vendor’s employees or property, prior, during or subsequent to the period covered by the exhibit. The vendor expressly releases the foregoing persons and entities from, and agrees to indemnify the same against any and all claims for such loss, damage or viruses or injury arising from the negligent or willful acts or omission of the vendor and its employees, agents, contractors, and invitees.

PROTECTION OF BUILDING – Nothing should be posted on, tacked, nailed or screwed, or otherwise attached to columns, walls, floor or other parts of the building or furniture. Whatever is necessary to protect the building, equipment, or furniture properly will be at the expense of the vendors. Vendors are liable for the costs of repairing any damage they cause to the property, and any consequential damage arising from such damage.

FIRE, SAFETY AND HEALTH – The vendor assumes all responsibility from compliance with local, city, and state ordinances and regulations covering fire, safety and health. All exhibit and materials will be reasonably located with the booth and protected by safety guards and devices where necessary. Only fireproof materials should be used in displays and the necessary fire precautions will be taken by the vendor.

SAFETY GUARDS AND PROTECTION – When Love Covers guests MUST be properly protected from injury. Any piece of machinery on display that has movable parts must have adequate safeguards to protect the public from injury throughout the event period.

PERSONS CONNECTED WITH NON-VENDOR CONCERNS – are prohibited from any dealing, exhibiting, or soliciting within the exhibit area. Vendors are urged to report immediately violations of the latter rule to the When Love Covers Women Ministry Staff and/or The Proud Bird Manager.

SPACE RESTRICTIONS – Exhibits must be confined to the exact space allocated. Circulars, publication, advertising matter and all promotional giveaways may be distributed within space only. Signs, rails, etc. will not be permitted to intrude into or over aisles or spaces.

AMENDMENT TO RULES – Any and all matters or questions not specifically covered by the preceding Rules and Regulations shall be subject to the decision of When Love Covers Women Ministry & The Proud Bird (if applicable). These Rules and Regulations may be amended without prior notice at any time by When Love Covers Women Ministry & the Proud Bird (if applicable). All amendments so made shall be binding on the vendors equally with the foregoing Rules and Regulations.

CANCELLATIONS AND REFUNDS– There will be NO REFUNDS for cancellations and contract is non-Transferrable. A credit shall be applied for any future events.

COVID-19

NOTE: COVID-19 falls within the list of unforeseen items listed in the force majeure provision (such as Acts of God, weather, fire, etc.) In the event that our venue/city/nation is forced to shut-down, there will be no refund. You will be credited to our next event.

Be advised, your safety is our priority. Therefore, we will keep you posted if mask is required for November 08, 2025. However, if you are feeling sick, please stay home. There will be No-Refunds.

• Event Ends and must be cleared out by: 4:00pm
