ACVO AGM 2025.
Ordinary Resolutions relating to appointment of Directors.
i) This AGM resolves to re-elect as Directors Paul O’Connor, Karen Milne and Amadhu Poobalan who stand down and are eligible for re-election.
ii) This AGM resolves to ratify the appointment of Lyndsay Johnstone as a Director.
iii) This AGM notes the service of former ACVO Directors and thanks them for their contribution.
Special Resolutions relating to amendments to Articles of Association
a) This AGM resolves to amend Article 12(a) by deleting the first occurrence of the word “two” and replacing with the word “three”.
b) This AGM resolves to amend Article 12(a) by adding sub-paragraph (iii) in the terms “Campaign membership shall be open to Third Sector Organisations in the City of Aberdeen who wish to support the purposes of the company.”
c) This AGM resolve to amend Article 12 (b) by adding after the current final full stop, the words “Campaign members shall have no voting rights at general meeting but shall be entitled to be in attendance and to speak at general meetings of members”.
d) This AGM resolves to amend Article 23 by deleting the words “in each calendar year”.
